District 6 Constitution and Bylaws

Article I

Name and Purpose

 

Section 1. NAME The name of the organization shall be the Pennsylvania Music Educators Association, District 6

 

Section 2. PURPOSE the purpose of the organization shall be to promote better school music.

 

Section 3 AFFILIATION This organization shall function as an affiliate of the Pennsylvania Music Educators Association hereafter referred to as PMEA

 

Section 4 MEMBER COUNTIES. The organization shall consist of PMEA members in Bedford, Blair, Cambria and Somerset Counties.

 

Article II

Membership

 

Membership in District 6 will be consistent with the membership policies of the PMEA.

 

Article III

Government

 

The Executive Board shall be the legal representative of District 6 and, as such, shall have, hold, and administer all the property, funds and affairs of District 6 PMEA. Provision for the regulation of the internal affairs of District 6 PMEA shall be provided for in the Bylaws.

 

Article IV

Elections

 

The manner of the election or appointment of the members of the District 6 PMEA Executive Board shall be provided for in the Bylaws.

 

Article V

Officers and Committees

 

Section 1. OFFICERS the officers of this district shall consist of a president, a first vice president (who shall be the president elect), a second vice president (the immediate vice president), a curriculum/instruction chairperson, the executive secretary and executive treasurer.

 

Section 2, EXECUTIVE COMMITTEE the executive committee shall consist of the district officers named in Section 1.

 

Section 3 COMMITTEES Standing and special committees of the district shall be appointed by the president.

 

Article VI

Disposition of Assets in case of Dissolution

 

In the event of dissolution or termination of PMEA or PMEA District 6, the Executive Board shall, after payment of all the liabilities of PMEA, dispose of all the assets of PMEA exclusively for the objectives of PMEA in such a manner or to such organization or organizations existing exclusively for charitable, education or scientific purpose as shall at the time qualify as an exempt organization or organizations under section 501(c) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) as the Executive Board shall determine. Any such assets not so disposed of shall be disposed of by the court of proper jurisdiction exclusively for such purpose or to such organization or organizations as said court shall determine, which are organized and operated exclusively for such purposes.

 

Article VII

Amendments

 

This constitution may be amended by a two-thirds plurality of the members voting. Balloting shall be conducted by mail. The Executive Committee shall be responsible for the publication of the proposed amendments.

 

PMEA District 6

Bylaws

 

 

Bylaw 1

Dues and Fees

 

Section 1. Dues and fees shall be consistent with PMEA policy.

 

Section 2. All fees for receiving PMEA District 6 services or participating in PMEA District 6 activities shall be set by the District 6 Executive Board.

 

 

Bylaw II

Government

 

Authority of management, policies, and actions of PMEA District 6 is vested in the Executive Board. As presiding officer of the Executive Board, the President is responsible for the leadership of PMEA. Individual members may make recommendations to the Executive Board regarding management, policies and actions.

 

Bylaw III

Officers

 

Section 1. PRESIDENT The President shall plan and preside at all meetings of District 6 PMEA.  The President shall have the power to appoint committees, ex officio Executive Board members and ex officio members not provided for  in the bylaws.  Such committees and ex officio officers shall be responsible to the Executive Board.  The President shall have authority to call special meetings and shall be ex officio member of all committees.

 

FESTIVAL DUTIES The President shall be assistant chair at pre-auditions and audition chair at the district festivals.  During the second year of the Presidents term, he/she shall serve as the Region III Chair.  The President is a voting member of the PMEA State Executive Board and shall represent District 6 at their meetings.  If unable to attend a state meeting, a proxy shall be appointed by the President.

 

Section 2.  Ist VICE PRESIDENT. The Vice President shall preside at meetings in the absence of the President, and shall assume the office in case of the disability or resignation of the President.  They serve as the Pre-auditions Chair and District Auditions Assistant Chair.

 

Section 3.  2nd Vice President.  The immediate Past President shall become the 2nd Vice President.  They shall serve as the Chair of the Nominating Committee, the Election Committee, count the ballots, and will be responsible for the preparation of festival budgets and assist the festival hosts.

 

 

Section 4.  CURRICULUM/INSTRUCTION CHAIR.  The Curriculum/Instruction Chair shall coordinate all related activities in the district as outlined in Section V of the PMEA job description.  They shall be responsible, in cooperation with the district Executive Committee, for naming the recipient of the Citation of Excellence Award and the District 6 Scholarship Award.  In addition, the C/I Chair is a voting member of the PMEA State Executive Board, and shall attend all their meetings.  If unable to attend a meeting, a proxy shall be named by the C/I Chair with the consent of the President.

 

Section 5. EXECUTIVE SECRETARY and TREASURER.  The Executive Secretary and Treasurer shall keep the minutes and record of the district, sign all checks and be required to submit an annual report for audit by committee.   In addition, the Executive Secretary will be responsible for organizing and distributing all pertinent materials for pre-auditions, auditions, and district festivals.

 

Section 6. COUNTY REPRESENTATIVES. County Representatives shall be voting members of the District 6 Executive Board and attend every meeting.  They shall serve as a liaison between the district office and county membership.  They shall be responsible for presenting to the Executive Board an annually updated list of music Educators in their county, and enlist new educators to become members of PMEA.  They will be elected by the membership of district 6.

 

Section 7.  EXECUTIVE COMMITTEE.  The Executive Committee shall consist of the elected District Officers, County Representative, Executive Secretary-Treasurer, and the C/I Chairperson.  It shall meet at the request of the President and shall have the authority to transact any business which may occur at such times as the district general membership or Executive Board cannot meet as a whole.

 

BYLAW IV

 TERMS OF OFFICE

 

Section 1.  PRESIDENT.  The President shall serve a six year term of office: two years as 1st Vice President, two years as President, and two years as 2nd Vice President.  The President must complete the entire six year term before pursuing another elective office.

 

Section 2.  1st VICE PRESIDENT.  The 1st Vice shall have a two year term of office succeeding to the presidency.

 

Section 3.  2nd VICE PRESIDENT.   The 2nd Vice President shall serve a two year term of office following the presidential term.

 

Section 4.  C/I COMMITTEE.  The C/I Committee shall serve a four year term of office.  The Chair, elected by the Executive Committee, will serve a two year term of office.  One half of the committee will be elected every second year.  The elections will occur in the following manner:

 

          Jr. High & Higher Ed. will be elected during the same year

          Elementary & High School will be elected during the same year

          These elections will occur in a non-presidential year.

 

Section 5.  COUNTY REPRESENTATIVE.  County representative will serve a two year term of office.  Bedford and Blair counties will be elected on even-numbered years, while Cambria and Somerset counties will be elected on odd-numbered years.

 

Section 6.  EXECUTIVE SECRETARY and TREASURER.  The Executive Secretary and Treasurer shall be appointed by the Executive Committee and serve until their resignation, or removal by a majority vote of the Executive Committee.

 

Section 7. ENSEMBLE REPRESENTATIVES. Band, Orchestra and Chorus shall have a representative on the Executive Board. These members will be nominated at District Festivals and voted on by the general membership.

 

Section 8.  VACANCIES.  Should an office become vacant before the completion of the elected official’s term, it shall be filled by a recommendation of the Executive Committee with the final approval by the Executive Board.

 

Section 9.  REMOVAL OF OFFICERS.  The Executive Board may declare vacant the office of any elected officer of District 6 PMEA for any of the following causes:  incompetence, unprofessionalism, or refusal to accept office following election thereto.  The Executive Board shall fill such office by appointment for the remainder of the term of the office thereby made vacant [see Section 7].

 

BYLAW V

 ELECTIONS

 

Section 1. ELECTIONS.  Annual balloting shall be conducted by mail for all officers including Curriculum/Instruction Committee members, county representatives, as well as constitutional revision.  The 2nd Vice President shall be responsible for the printing and mailing of all ballots to members in good standing.  The election date is March 1, or a special date authorized by the Executive Committee.  Ballots shall be mailed at least ten days prior to an election.  Results will be forwarded immediately to the Executive Secretary who will so record and inform the candidates.

 

Section 2.  NOMINATING COMMITTEE.  The Nominating Committee shall consist of the four County Representative; the fifth member shall be the 2nd Vice President who shall act as Chair.  Two candidates shall be nominated for each office.  All nominees shall be engaged in teaching music or a retired music teacher.  Curriculum/Instructional nominees must be teaching on the level they will represent.

 

 

 

BYLAWS VI

MEETINGS

 

Section 1.  GENERAL MEMBERSHIP MEETINGS.  General Membership meetings of the district shall be held at such times and places as may be determined by the Executive Committee.

 

Section 2.  DISTRICT MEETINGS.  Regular meetings of the district shall be held concurrent with the district festivals.

 

Section 3.  EXECUTIVE MEETINGS.  The Executive Committee shall meet at the call of the President.  The Executive Board shall meet every year in September and May.

 

BYLAW VII

PARLIAMENTARY PRINCIPLE

 

Parliamentary principles set forth in Robert's Rules of Order shall govern in all occasions not covered by the Constitution of Bylaws.

AMENDMENTS

 

These bylaws may be amended by a two/thirds plurality of the members voting.  Balloting shall be conducted by mail.  The Executive Committee shall be responsible for the publication of the proposed amendments.
